Contracts and Advisory Services

Contracts that define rights, responsibilities, and performance terms, with legal counsel throughout the relationship.

When we can help.

A contract structures responsibilities, expectations, and consequences. Legal counsel supports drafting and negotiation as well as decisions arising during performance, amendment, or termination.

  • Structuring a new relationship with customers, suppliers, partners, or other contracting parties.
  • Reviewing obligations, payment mechanisms, responsibilities, and performance criteria.
  • Assessing risks before renegotiating, giving notice, or ending a relationship.
  • Tailoring privacy, integrity, and dispute resolution provisions to the contractual context.

How we work.

01

Drafting and Review

Reviewing agreements and drafting provisions aligned with the intended legal relationship.

02

Negotiation

Assessing proposals, risks, and alternative allocations of responsibility.

03

Performance and Amendments

Support in decisions on performance, notices, amendments, and renegotiations.

04

Termination and Disputes

Legal analysis of termination and issues that may require negotiation or representation in a dispute.

From negotiation to performance.

Contract review starts with the actual transaction: scope, deliverables, dependencies, compensation, responsibilities, and consequences of nonperformance. It also examines how to document performance, communicate disagreements, and formalize amendments or termination.

In a services agreement, for example, acceptance criteria, data use, subcontracting, and transition at termination need to work together. The agreement should make clear who does what and how unforeseen situations will be addressed.

Personal data, integrity, and dispute resolution clauses should be assessed alongside the other provisions. Our advisory work makes legal options understandable so decisions can be made with a clear view of the commitments and risks involved.
