Contract review starts with the actual transaction: scope, deliverables, dependencies, compensation, responsibilities, and consequences of nonperformance. It also examines how to document performance, communicate disagreements, and formalize amendments or termination.
In a services agreement, for example, acceptance criteria, data use, subcontracting, and transition at termination need to work together. The agreement should make clear who does what and how unforeseen situations will be addressed.
